Terms of Service

These terms govern your use of capalist.com and the services provided by CAPA AI ("we", "us"). By purchasing a package, booking a call, or creating a client portal account, you agree to these terms.

1. Services

We design, build, and deploy custom AI automation systems — chatbots and assistants, lead generation systems, workflow automation, AI marketing systems, and websites. The specific scope, deliverables, and timeline for your project are defined in your order, proposal, or statement of work.

2. Payments

• Payments are processed securely by Stripe.
• One-time packages are billed once at checkout. Managed plans are billed as a setup fee plus a recurring monthly fee.
• Monthly plans can be cancelled anytime; cancellation takes effect at the end of the current billing period. No long-term contracts.
• Prices may change, but never mid-engagement for work already purchased.

3. 30-Day Results Guarantee

If you do not see measurable improvement in the metric we agree to target (for example: lead response time, booked calls, or hours of manual work eliminated) within 30 days of your system going live, you may choose either:

• a rebuild of the system at no additional charge, or
• a full refund of the fees paid for that system.

To claim the guarantee, email us within the 30-day window. The guarantee covers the first build of each system; it does not cover changes in scope you request mid-build or factors outside the system (for example, ad spend you pause).

4. Client responsibilities

• Provide timely access to the tools and accounts the build requires.
• Ensure you have the right to connect the data and accounts you give us access to.
• Review AI-generated output that is sent to your customers; you remain responsible for your business communications.

5. Intellectual property

Upon full payment, you own the deliverables we build specifically for you — workflows, prompts, configurations, and (for website packages that say so) the site code. We retain ownership of our pre-existing tools, templates, and know-how, and may use anonymized learnings to improve our services.

6. Client portal

• You are responsible for keeping your account credentials secure.
• Portal data is isolated per client with database-level security.
• Do not misuse the portal (no unauthorized access attempts, no unlawful content).
• We may suspend accounts that violate these terms.

7. AI disclaimer

AI systems produce probabilistic output. We build guardrails and review flows, but no AI system is guaranteed error-free. Results shown on our site describe specific engagements and are not a promise of identical results for your business.

8. Limitation of liability

To the maximum extent permitted by law, our total liability for any claim arising from the services is limited to the amounts you paid us for the service giving rise to the claim in the 12 months before the claim. We are not liable for indirect or consequential damages, or for losses caused by third-party platforms we integrate with.

9. Termination

You may stop services at any time (Section 2 governs billing). We may terminate for non-payment or material breach with notice. Sections 5, 7, and 8 survive termination.

10. Governing law

These terms are governed by the laws of the state in which CAPA AI is organized, without regard to conflict-of-law rules. Disputes will be resolved in the courts of that state.

11. Changes to these terms

We may update these terms; material changes will be reflected by the date above. Continued use of the services after changes means you accept them.
